1. What is an Asciano stapled security?

An Asciano stapled security comprises a share in Asciano Ltd and a unit in Asciano Finance Trust traded as a single unit on the ASX.

2. What is the cost base of an Asciano stapled security for capital gain purposes?

Cost base information for capital gain purposes:

  1. a. Securities acquired through Toll demerger

    Toll has received, from the Australian Taxation Office, a Class Ruling for investors on the demerger of Asciano from Toll http://law.ato.gov.au/atolaw/view.htm?docid=CLR/CR200832/NAT/ATO/00001 The Class Ruling confirms the tax consequences outlined in the Scheme Booklet.

    A guide on the tax implications for individual holders as a result of the restructure has been prepared by Toll and is available on the Toll website under 2007 media releases. In addition, Toll have made available on their website a general tax calculation guide to assist individual holders in determining the indicative CGT cost base allocation of Toll shares and Asciano stapled securities arising from the restructure. This information is not intended to be personal tax advice and Toll and Asciano strongly recommend that you seek your own specialist tax advice as to the taxation implications of the restructure.

3. What is the Asciano Distribution Policy?

Asciano intends to make regular Distributions to security holders after meeting debt obligations and net capital expenditure requirements.

Distributions are expected to be a combination of:

  1. returns of capital (which will be 'tax deferred' and reduce cost base of units) and income Distributions from Asciano Finance Trust; and
  2. partly and fully franked dividends from Asciano Ltd.

4. When will Asciano pay a Distribution?

Asciano intends to pay Distributions in respect of periods ending 31 December and 30 June. A detailed distribution statement stating the breakdown of Distributions between capital, income and dividend components will be issued by Asciano at the time each Distribution is made.

The Asciano Board has approved an interim distribution of 23 cents per security (subject to sign-off by the Responsible Entity for Asciano Finance Trust). The key dates for this interim distribution are:
